Terms of business

The parties

The agreement is made between the customer and Oxholm Agency, a sole proprietorship registered in Denmark, company registration number (CVR) 44915847, Rådmandsløkken 5, 1. tv, 6400 Sønderborg, Denmark. Contact: hej@oxholm-agency.dk, telephone +45 93 60 64 39. That is the business the agreement is with, and the business the invoice comes from.

Right of withdrawal

This agreement is made between businesses. The 14-day right of withdrawal under Danish consumer contract law therefore does not apply.

Instead, the order is reversed: you see a real website before any agreement is made, and you are not invoiced until you have approved it. You do not have to withdraw from a purchase — you have to say yes to something you have already seen.

What is delivered

Oxholm Agency delivers a website of up to 5 pages with the content set out in the offer, plus ongoing hosting, operation, support and minor changes.

Price and payment

• The website: €925 excl. VAT as a one-time fee.
• Hosting, operation, support and minor changes: €29 per month excl. VAT.
• If your business is VAT-registered in an EU country other than Denmark, VAT is accounted for by you under the reverse charge, and no Danish VAT is added. You must supply a valid VAT registration number.
• If your business is established in Denmark, Danish VAT of 25 % is added to all amounts.
• For customers established outside the EU, the tax treatment is agreed separately before any agreement is made.
• You pay when you are happy with the site, not before. Invoicing takes place after approval, and the invoice falls due 8 days after the invoice date.
• The subscription is invoiced monthly in advance and runs from the day the site goes live.
• If payment is not made on time, interest accrues under the Danish Interest Act, and a reminder fee of DKK 100 may be charged per reminder, for no more than three reminders.

Delivery

A finished website in 72 hours, from the point where I have the information and material I need. The delivery time runs from the point at which Oxholm Agency has received all agreed material from the customer.

If I have not received the agreed material within 60 days, I close the case. You are not invoiced for a draft you have not approved, and you are always welcome to come back later.

Hosting, operation, support and minor changes

The subscription of €29 per month excl. VAT covers hosting and operation, SSL, security updates, backup and support by telephone and email, plus up to 2 changes to text, prices, opening hours, images and contact details per month. Unused changes do not carry over to the following month.

The following is not covered and is agreed separately:

• Larger changes
• New pages
• New functionality
• Redesign or a new visual direction
• Web shop, booking and other custom development
• The domain fee and email hosting — you pay those to your provider
• Ongoing SEO work and advertising

Support is provided by telephone and email on weekdays. I normally reply the same or the next working day.

Ordinary traffic and ordinary content for a business website are included in the subscription. If the site is hit by unusually large amounts of traffic or data, I contact you and agree what should happen. I do not take the site down and do not send an extra invoice without talking to you first.

Changes and approval

2 rounds of changes are included in the price. A round of changes covers adjustment of text, images, colours and details within the agreed scope. Changes that extend the scope are agreed and priced separately before the work begins.

Approval is given in writing — an email or a text message is enough. I do not regard a site as approved until you have said so. There is no deadline after which approval takes effect on its own.

The customer’s material

The customer warrants that they have the right to use the material — images, logo, text — that they supply, and that information about authorisations, memberships and similar is correct.

Rights to the website

Once the one-time fee is paid in full, you have a perpetual right to use your finished website — the content, the text, the images and the finished design. If the subscription ends, the site is handed over as a complete package that you, or another provider, can go on hosting without me. The reusable code components behind it stay mine, but your site always runs without them.

In plain terms: you may freely use, move and have others edit your own site, text and images — and I may reuse the underlying craft for other customers. The files are handed over as the site stands on the closing date. I cannot guarantee that every feature works unchanged with another provider, but you do not pay to have the site handed over.

The domain is owned and paid for by you and stays with you whatever happens to the subscription. If I register it on your behalf, it is registered in your name.

Term and termination

• The subscription has no minimum term.
• It can be cancelled with one month's notice to the end of a month.
• Cancellation is made in writing to hej@oxholm-agency.dk or to the address above. I always confirm a cancellation in writing — if you have not had a confirmation, it has not reached me.
• On termination I hand over the site as finished files at no charge, see «Rights to the website», and then take the site down from my hosting. The domain is yours and stays with you.

Liability

Oxholm Agency gives no guarantee of particular positions in search engines or of a particular number of enquiries. No supplier can guarantee that, and I do not either.

I aim for the site to be available around the clock, but I do not guarantee any particular uptime. Hosting, domain registration and email are supplied by third parties, and I am not responsible for outages or changes at those providers. The same applies to circumstances outside my control, including power failures, network faults and external attacks.

Oxholm Agency is not liable for indirect losses, including operating losses, lost profit, loss of data and losses arising from the website being unavailable. Total liability cannot exceed the amount the customer has paid for the service within the last 12 months.

The customer is responsible for the content of the website, including that information about prices, authorisations and memberships is correct.

Personal data

My own processing of personal data is described in the privacy policy.

For your own website: the customer is the data controller for the personal data the customer’s website processes, for example enquiries through the contact form. Oxholm Agency is the data processor for what is processed through my setup, and a data processing agreement is entered into before the site goes live.

If I set up statistics or marketing tools on your site, we agree at the same time how consent is obtained and what your own cookie and privacy policies must say. The customer is responsible for the content of their own policies.

Changes to these terms

I may change these terms and the subscription price with 30 days’ notice by email to the address the customer has given. If you do not agree to the change, you may cancel the subscription with effect from the day the change takes effect — without the notice period that otherwise applies.

Governing law, disputes and language

The agreement is governed by Danish law. If a disagreement arises, we first try to resolve it over the telephone. If that is not possible, the matter is decided by the court in Sønderborg, Denmark.

These terms are an English translation of the Danish handelsbetingelser. In the event of any discrepancy between the two versions, the Danish version prevails. The translation is provided so that you can read what you are agreeing to in English; it does not create a separate agreement.
